These Terms govern your account and every deposit, allocation, and payout on the platform. Please read them — together with our Privacy Policy — before using Jade.
These Terms of Service (“Terms”) form a binding agreement between you and the operator of Jade Institutional (“Jade”, “we”, “us”) governing your access to and use of jadeinstitutional.com and the account, deposit, allocation, and payout services offered through it (the “platform”). By creating an account, signing in, depositing funds, or otherwise using the platform, you accept these Terms and our Privacy Policy.
If you are acting on behalf of a company, trust, or other entity, you represent that you are authorised to bind that entity to these Terms.
You must be at least 18 years old and legally capable of entering into contracts to use the platform. You may not use the platform if you are located in, or are a resident of, a jurisdiction where the platform or digital-asset activity is prohibited, or if you appear on applicable sanctions or restricted-party lists. We may decline or restrict accounts at our discretion where required by law, compliance policy, or risk management.
Jade is a digital-asset investment platform. Clients fund an account with supported cryptocurrencies (or fiat where an on-ramp is offered), then direct those funds into managed allocation programs and yield vaults offered on the platform. Allocations accrue yield according to the published terms of each program and are returned, with distributions, at maturity or on the schedule applicable to the program.
Jade is not a bank. Balances are not bank deposits and are not insured by any government deposit-insurance scheme. Nothing on the platform is investment, legal, accounting, or tax advice; published yield figures describe the terms of each program and are not guarantees of future performance.
You are responsible for the accuracy of the information you provide, for keeping your credentials and authentication methods secure, and for all activity that occurs under your account. Notify us immediately of any unauthorised access. You may sign in with email or through Google Sign-In; either method is subject to these Terms.
You may close your account at any time, provided all outstanding allocations have settled or been exited under section 6 and any verification required for the final payout has been completed.
Deposits are made in the assets and networks presented at checkout. Crypto deposits are processed through our payment processor and are credited to your account after the transaction is confirmed on the relevant blockchain and our processor reports the payment as complete. Fiat deposits, where offered, are processed by regulated on-ramp partners and may require completion of their identity-verification process.
Deposits must originate from wallets or accounts you control. We may refuse, hold, or return deposits that cannot be verified to your benefit, and we will contact you where we do so.
When you allocate funds to a program or vault, the applicable terms — minimum amount, accrual rate or curve, term, distribution schedule, and any lock-in period — are those displayed at the time you allocate. Yield accrues as described on the platform and is recorded on your account ledger.
Some programs allow early exit before maturity. Where early exit is offered, it is subject to the early-exit policy in force: any lock-in period during which exit is unavailable, and any tiered early-exit fee, is disclosed before you confirm the exit. The net proceeds of an early exit are credited to your available balance after fees.
Program returns are not guaranteed. The performance of the underlying strategies may vary, and the amount returned to you may differ from any projection shown in the dashboard.
Available balance may be withdrawn to a cryptocurrency wallet you designate. Withdrawals and maturity payouts are executed by our treasury as presented in the dashboard — including any minimum amounts, processing windows, and network/asset options — and each payout is evidenced by a transaction hash recorded against your account.
You are solely responsible for the accuracy of the wallet address and network you provide. Transfers to an incorrect address or on an unsupported network may be irrecoverable. We may delay or pause a payout where verification, sanctions screening, or security review requires it.
Fees applicable to your account — including management or performance allocations embedded in program terms, early-exit fees, and any deposit or payout costs — are disclosed on the platform before you commit. Blockchain network fees are borne as described at the time of the transaction. We will give advance notice of any change to fee structures that applies to future allocations.
We operate a compliance-first platform. You agree to provide accurate information and to complete identity or source-of-funds verification where requested, whether by us or by our regulated partners. We screen accounts and transactions against sanctions obligations and may freeze, restrict, or close accounts, or report activity to authorities, where the law or our compliance policies require it.
You may not use the platform for unlawful activity, including money laundering, terrorist financing, fraud, market abuse, or any transaction involving the proceeds of crime. You may not scrape, reverse-engineer, disrupt, or gain unauthorised access to the platform, and you may not misrepresent your identity or beneficial ownership.
Digital assets are volatile and involve significant risk, including the total loss of principal. Before using the platform you should consider, at minimum, the following:
You use the platform at your own risk and are responsible for your own investment decisions, including seeking independent advice where appropriate.
Client assets held for allocations are controlled by Jade’s treasury infrastructure, with keys held in secured custody arrangements and transactions executed under internal controls. Where assets sit with third-party processors in transit, custody follows that provider’s terms.
Custody of digital assets is different from custody of bank deposits: there is no deposit-insurance backstop, and recoverability in a worst-case event depends on the security of the custody arrangements themselves. We describe our custody posture honestly and will answer questions about it.
The platform is provided “as is” and “as available”. To the fullest extent permitted by law, Jade disclaims all warranties not expressly stated in these Terms, and neither Jade nor its operators, employees, or suppliers is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data, arising from your use of the platform.
Jade’s aggregate liability for direct damages arising from the platform is limited to the total fees you paid to Jade under these Terms in the twelve months preceding the claim, except where a higher limit is mandated by law. Nothing in these Terms excludes liability that cannot be excluded by law.
We may suspend or restrict the platform, or close an account, where required for security, fraud, sanctions, legal, or risk-management reasons, giving notice where permitted. On closure, settled and available balances will be returned to your designated wallet after any required verification, subject to sections 6 and 7.
We may amend these Terms to reflect changes in the service, technology, or law. Material changes will be announced on the platform or by email in advance of taking effect. Continuing to use the platform after the effective date of a change constitutes acceptance; if you do not agree, you may withdraw your available balance and close your account.
These Terms are governed by the laws of the jurisdiction in which the operator of Jade Institutional is established, without regard to conflict-of-laws rules. Most concerns can be resolved quickly by contacting us; we ask that you raise any dispute with us first so we can try to resolve it. Where a dispute cannot be resolved by discussion, it will be subject to the jurisdiction of the competent courts of that governing jurisdiction, unless mandatory consumer-protection law gives you a different forum.
Questions about these Terms, your account, or a transaction can be sent to zorosanders@proton.me. We aim to reply within five business days.
